Why this document is simpler than it could have been
Because Vitrio does not process payment for the actual product sale between a lab and a supplier — that happens off-platform, by agreement between the two of them — Vitrio is not a party to that transaction and carries much less liability than a full checkout marketplace would. Vitrio's only direct financial relationship here is the supplier's listing fee.
1. What the Vitrio Marketplace is
The Vitrio Marketplace is a directory and introduction service. Approved suppliers may list products with pricing for laboratories using Vitrio to browse and compare. When a lab wants to buy from a listed supplier, Vitrio connects them; the lab and supplier then negotiate, invoice, and pay each other directly, outside the Vitrio platform.
Vitrio is not:
- a party to any sale, purchase, or payment between a lab and a supplier
- a payment processor, broker, or escrow agent for product transactions
- a guarantor of any listing's price accuracy, product quality, delivery, or a supplier's reliability
2. Supplier eligibility and approval
Anyone may apply to become a marketplace supplier by registering with accurate company and contact information. Every application is reviewed by Vitrio staff before any listing becomes publicly visible. Approval is at Vitrio's sole discretion and may be revoked at any time.
Approval is not an endorsement. Vitrio does not independently verify product claims, certifications, pricing, or business legitimacy — approval is a review of the information the applicant submitted at registration, not an external background check. proposed Labs are responsible for their own due diligence before purchasing.
Vitrio may suspend or remove a supplier's account or listings for providing false information, non-payment of listing fees, product/pricing misrepresentation reported by labs, or any other violation of these terms.
3. Listing fee
Suppliers pay Vitrio a flat, one-time fee to maintain an active, publicly visible listing — currently ₦5,000 for Naira billing (Paystack). from code The international-card (Stripe) price is set directly in Vitrio's Stripe dashboard. proposed — no price configured yet
The fee is a one-time, non-recurring charge, not a subscription. from code A listing stays active indefinitely once paid unless Vitrio deactivates it under Section 2 or 7.
Suppliers choose either Stripe (international card) or Paystack (Naira — card, bank transfer, USSD) at checkout.
Refunds: listing fees are non-refundable once charged. proposed — confirm enforceability with counsel
4. Listings and content
Suppliers are solely responsible for the accuracy of their listing's name, description, category, price, currency, and images, and must have the right to use any image they upload. Vitrio reserves the right to remove any listing that is inaccurate, misleading, or violates these terms, without notice.
5. Transactions between labs and suppliers
All product transactions — negotiation, invoicing, payment, delivery, returns — are solely between the lab and the supplier. Vitrio has no visibility into, involvement in, or responsibility for these transactions, and makes no representation about product safety, regulatory compliance (e.g. NAFDAC, MLSCN, or equivalent local approval), or fitness for a particular laboratory use. Labs are responsible for verifying any product meets their own jurisdiction's regulatory requirements before purchase.
Any dispute about a product transaction is between the lab and the supplier directly. Vitrio is not a mediator or arbiter, though it may, at its discretion, suspend a supplier's account in response to a credible pattern of complaints.
6. Reporting a problem
Labs or suppliers who experience a problem with a listing or the other party's conduct can report it to ebujoeebujoe007@gmail.com. Vitrio will review reports and may take action against a supplier's account, but does not resolve individual transaction disputes, issue refunds for product purchases, or act as a mediator.
7. Termination
Vitrio may suspend or terminate a supplier's marketplace access at any time, for any reason, including violation of these terms. A supplier may close their account at any time by contacting support; any listing fee already paid is non-refundable per Section 3.
8. Limitation of liability
This section requires a qualified lawyer to draft. It is deliberately left without a placeholder clause here — filling it in with a guess is exactly the kind of thing that creates real exposure rather than preventing it. Flag this section specifically for legal review before launch.
9. Governing law
These terms are governed by the laws of the Federal Republic of Nigeria, with disputes resolved through the courts of that jurisdiction. proposed — a real legal choice with consequences; confirm with counsel before treating as settled
